Terms of Service

1. Agreement to these terms

These Terms of Service govern your access to and use of XInfoAI websites, software, agents, APIs, and related services (the “Services”) and form an agreement between you and AiYinFu Intelligent Technology (Shanghai) Co., Ltd. (Chinese registered name: 艾因孚智能科技(上海)有限公司), a company incorporated under the laws of the People’s Republic of China, with its registered address at 3rd Floor, No. 1, Lane 999, Huanke Road, China (Shanghai) Pilot Free Trade Zone, Shanghai, People’s Republic of China (“XInfoAI,” “we,” or “us”).

By creating an account, purchasing a plan, or using the Services, you agree to these terms. If you use the Services for an organization, you confirm that you have authority to bind that organization.

2. The Services

XInfoAI provides user-directed business research, authorized data enrichment, email-drafting, task-management, and communication-status capabilities. Available features depend on the user’s plan, connected services, permissions, and location. XInfoAI does not guarantee that any particular source, business record, contact method, delivery event, or reply will be available.

You remain responsible for reviewing outputs and deciding whether they are suitable for your use. The Services do not replace professional, legal, compliance, or business judgment.

3. Accounts and eligibility

You must provide accurate account information, keep credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for ensuring that authorized users follow these terms.

You may use the Services only if you can legally enter into a binding agreement and are not prohibited from receiving them under applicable law.

4. Acceptable use

You may not use the Services to break the law, infringe intellectual-property, privacy, publicity, or other rights, deceive or impersonate others, distribute malware, bypass security controls, interfere with the Services, or facilitate harassment, phishing, fraud, unlawful surveillance, or unauthorized access to data.

You may not use the Services to scrape or harvest personal information without authorization; obtain or use email addresses or other contact details without a lawful basis; send unsolicited mass messages; operate automated SMS, message-app, or social-media marketing; conceal a sender’s identity; use misleading headers or subject lines; or ignore unsubscribe, opt-out, suppression, or do-not-contact requests.

You are responsible for your data sources, targeting, content, sending practices, consent or other lawful basis, notices, opt-out handling, suppression lists, and compliance with applicable privacy, marketing, telecommunications, and anti-spam laws. You must use connected email and other third-party accounts in accordance with their applicable terms and permissions.

We may apply technical limits, require additional review, suspend automated actions, or terminate access where we reasonably believe an activity creates legal, security, platform, abuse, or deliverability risk.

5. Customer Content and AI-generated results

You retain ownership of data, prompts, files, instructions, and other materials you submit (“Customer Content”). You grant us the limited rights needed to host, process, transmit, and display Customer Content to provide, maintain, secure, and support the Services and carry out your instructions.

When a requested feature uses an AI model, we may process Customer Content through an AI-model provider acting on our behalf as described in the Privacy Policy. We do not use Customer Content to train generalized or shared AI models unless you expressly opt in or a separate written agreement clearly permits that use.

As between you and XInfoAI, and to the extent permitted by applicable law, you retain any rights you have in results generated from your Customer Content and instructions (“Outputs”). XInfoAI assigns to you any rights it may have in those Outputs. This does not transfer rights in the Services, our models, software, templates, or other XInfoAI materials, and does not affect third-party rights.

Outputs may be incomplete, inaccurate, outdated, or not unique, and other users may receive similar results. You are responsible for reviewing Outputs, verifying material facts, obtaining professional advice when appropriate, and determining whether your use of an Output is lawful and suitable. You must not rely on the Services as the sole basis for decisions that produce legal or similarly significant effects about an individual unless that use is expressly supported by the applicable product, agreement, and law.

You confirm that you have all rights, notices, permissions, consents, and other lawful bases needed for Customer Content, connected accounts, imported records, enrichment requests, communication recipients, and actions you instruct XInfoAI to perform. You must not instruct XInfoAI to access, enrich, monitor, or contact a person or account in violation of law or third-party terms.

6. Third-party services and data

The Services may connect to third-party platforms and data providers. Their products, availability, terms, and privacy practices are controlled by those third parties. You authorize us to exchange information with the services you connect as necessary to perform your instructions.

If you choose to connect a supported email account, XInfoAI accesses connected-account data only after you or an authorized administrator approves the connection and only within the permissions presented during the applicable connection flow. The same use and data-protection rules apply regardless of the email provider. XInfoAI uses the connected mailbox only for email features you request or enable, including preparing drafts, sending an email action you initiate or configure, detecting and organizing replies, and displaying available communication status in XInfoAI. Connecting an account does not by itself authorize unsolicited mass messaging or sending that exceeds the instructions and controls you configure.

You may revoke a connected service’s permissions at any time through the controls provided by that service or, where available, through XInfoAI. Revocation may prevent the affected feature from operating and does not affect processing that was lawfully completed before revocation.

We are not responsible for third-party services, and changes made by a third party may affect an integration or data source.

Business information obtained from public or connected sources may be incomplete, outdated, or inaccurate. Availability of a source does not itself establish that a customer may lawfully use the information for a particular purpose. Customers must review source information and determine whether their intended processing and communication are permitted.

7. Fees, subscriptions, and credits

New accounts may receive 500 registration credits valid for 7 days, as shown in the product. Registration credits are provided separately by XInfoAI and are not a paid-subscription trial. Paid subscriptions begin billing immediately when purchased and renew automatically at the billing interval and price shown at checkout until canceled.

Online payments are processed by Dodo Payments, our authorized reseller and merchant of record. Dodo Payments may collect applicable taxes and provide transaction receipts and buyer support. Refund eligibility is governed by our Refund Policy, Dodo Payments’ buyer terms, applicable consumer law, and any separately agreed order form.

Credits measure eligible use of the Services. Credits are not money, have no cash value, and cannot be transferred or resold. Included credits expire or reset according to the plan and entitlement period shown at purchase. Current credit balances and itemized usage records are available in the product. We may adjust credit rules for future usage with reasonable notice.

8. XInfoAI ownership

We and our licensors own the Services, software, interfaces, documentation, models, designs, trademarks, and related intellectual property. Except for the limited right to use the Services under these terms, no rights are transferred to you.

If you provide feedback, you permit us to use it without restriction or payment, provided we do not identify you publicly without permission.

9. Confidentiality

Each party may receive non-public information that should reasonably be understood as confidential. The receiving party will use it only for the relationship, protect it with reasonable care, and disclose it only to people who need it and are bound by appropriate obligations. These duties do not apply to information that is public through no fault of the receiving party, already lawfully known, independently developed, or lawfully received from another source.

10. Disclaimers

To the extent permitted by law, the Services are provided “as is” and “as available.” We do not guarantee uninterrupted operation, perfect accuracy, specific commercial results, or that third-party data will always be complete or current. Statutory warranties that cannot legally be excluded remain unaffected.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. XInfoAI’s total liability arising from the Services will not exceed the fees paid or payable for the Services during the 12 months before the event giving rise to the claim.

These limits do not apply where liability cannot legally be limited, or to a party’s fraud, willful misconduct, or infringement of the other party’s intellectual property rights.

12. Suspension and termination

You may stop using the Services or cancel a subscription at any time. We may suspend or terminate access if you materially breach these terms, create a security or legal risk, fail to pay amounts due, or use the Services in a way that could harm XInfoAI, our users, or third parties.

Sections that by their nature should survive termination—including ownership, confidentiality, disclaimers, liability, and payment obligations—will continue to apply.

13. General terms

Subject to mandatory applicable law, if you have an order form or separately signed agreement with us, that document controls where it conflicts with these terms. You may not assign this agreement without our consent, except as part of a merger, reorganization, or sale of substantially all relevant assets. We may assign it to an affiliate or successor.

Unless an applicable order form or separately signed agreement expressly states otherwise, these terms are governed by the laws of the People’s Republic of China, excluding for this purpose the laws of Hong Kong SAR, Macao SAR, and Taiwan, and without regard to conflict-of-laws principles. Subject to mandatory applicable law, any dispute arising out of or relating to these terms or the Services shall be submitted to the competent People’s Court at the registered domicile of AiYinFu Intelligent Technology (Shanghai) Co., Ltd. in Shanghai, China. If you are a consumer, this choice of law and forum does not deprive you of any mandatory consumer protections or rights to bring proceedings in another forum that cannot lawfully be excluded under the laws applicable in your place of habitual residence. If any provision is unenforceable, the remaining provisions continue in effect.

We may update these terms to reflect changes in the Services, law, or business. We will post the updated version and revise the effective date; material changes will take effect after reasonable notice.
